Copyrights, Title and Ownership

All template layouts are owned and are the property of Pixelita Designs LLC. All desktop wallpapers, graphic banners and buttons are owned by and are the property of Ivan Minic. This Agreement is not a sale of the original digital web graphics or digital artwork, nor does it grant you any intellectual property rights in the digital web graphics or digital artwork authored/created by Pixelita Designs LLC or Ivan Minic. Title and exclusive ownership rights of any template layout or graphic artwork created by Pixelita Designs LLC, Ivan Minic or Joni Mueller (whether or not modified by anyone), remains the sole property of its respective creator.

Limitation of Use

The web graphics (desktop wallpaper, buttons and banners) are made available under a non-exclusive, non-transferrable license for display purposes on personal and/or commercial websites for a licensing fee.

Commercial exploitation of any of the web graphics created and designed by Pixelita Designs LLC or Ivan Minic is strictly prohibited without the prior written consent of Pixelita Designs LLC or Ivan Minic. No developer or buyer is allowed to display the web graphics for resale on their website or as part of any other storage media (CD, DVD, etc.), or in any type of sitebuilder application on a continuous basis to resell to multiple clients.

Any distribution, via all electronic media, network media (www), hard storage media or print media, reprinting, relicensing, modifying, publishing, assignment, transfer, sales, or other distribution of the web graphics designed by Pixelita Designs LLC or Ivan Minic and contained within this website or any other website is strictly prohibited without the prior written consent of Pixelita Designs LLC or Ivan Minic.

Developers can not extensively modify or make derivative works of the web graphics designed and created by Pixelita Designs LLC or Ivan Minic, in whole or in part to claim as their own work in any manner not expressly authorized by this License Agreement.

The web graphics are copyrighted and may not be reproduced, even if modified or merged with other graphics. Unauthorized copying of the web graphics, or failure to comply with any of the terms, restrictions, conditions, or limitations herein will result in automatic termination of this non-exclusive license agreement.

Indemnity

You agree to indemnify and hold Pixelita Designs LLC, Joni Mueller or Ivan Minic, jointly, severally or individually harmless from any claim or demands, including reasonable attorneys’ fees, made by person(s) or any third party accessing this website due to or arising out of graphic content you downloaded from this website.

Limitation of Liability

Under no circumstances whatsoever shall Pixelita Designs LLC, Ivan Minic or Joni Mueller be liable to you or any other person or entity for any damages monetary or otherwise (including without limitation, damages for loss of business profits, business interruption, loss of business information, loss of goodwill, computer failure or malfunction, or any other pecuniary loss), arising out of the use or inability to use the web graphics you have licensed from Pixelita Designs LLC, even if the company or its suppliers has been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not apply to you.

Entire Agreement

This Agreement is the entire Agreement between us and supercedes any verbal or other communications or advertising with respect to the web graphics and/or documentation provided by Pixelita.Com. This License may only be amended in writing and only by an agent (member or manager) of Pixelita Designs LLC. This Agreement will be governed by the laws of the State of Texas and any dispute shall be adjudicated solely by the competent federal or state court situated in Houston, Harris County, Texas. If any provision of this Agreement is held invalid, the remainder of this Agreement shall continue in full force and effect.
